DEFENDANTS' ANSWER TO PLAINTIFF'S AMENDED COMPLAINT
FOR INJUNCTION, CIVIL PENALTIES, AND OTHER
STATUTORY RELIEF

          Defendants, PROFESSIONAL RESOURCES SYSTEMS INTERNATIONAL, INC., WILLIAM CAUDELL, LESTER GILLESPIE, SALVATORE ARGENTO, JOSEPH ROTUNNO and BEN TOBIN by and through their undersigned counsel hereby file their Answer To Plaintiffs Amended Complaint For Injunction, Civil Penalties, And Other Statutory Relief and state as follows:
          1. Defendants admit the allegations contained in paragraphs 1, 2, 3, 4, 5, 7, 39 and 41 of Plaintiffs Amended Complaint.
          2. Defendants deny the allegations contained in paragraphs 8, 10, 11, 12, 14,17,19, 20, 21, 22, 23, 24, 25, 26, 27, 28, 30, 31, 32, 33, 34, 35, 36, 38, 40, 42, 44, 45, 46, 48, 49, 50, 51 and 52 of Plaintiffs Amended Complaint.
          3. Defendants are without knowledge as to the allegations in paragraphs 6, 15, 16, 18, 29 and 37 of Plaintiffs Amended Complaint and therefore deny same and demand strict proof thereof.
          4. Defendants neither admit nor deny the allegations in paragraphs 47 and 53 of Plaintiffs Amended Complaint.
